Terms of Service

Introduction

Welcome to JTG Systems / Joint Technology Group Inc. ("JTG," "we," "our," or "us"). This Terms of Service Agreement ("Agreement") governs your use of our one-click computer speedup software ("Software") and related services ("Maintenance" and "Support Services"). By using the Software or accessing our Maintenance and Support Services, you agree to be bound by the terms and conditions outlined in this Agreement.

Definitions

• "Software" refers to the one-click computer speedup tool provided by JTG Systems / Joint Technology Group Inc.
• "Maintenance" and "Support Services" encompass any services provided by JTG Systems / Joint Technology Group Inc. related to the Software.
• "Client" or "you" refers to the individual or entity using the Software or accessing Maintenance and Support Services.

Acceptance of Terms

By using the Software or accessing our Maintenance and Support Services, you acknowledge that you have read, understood, and agree to abide by the terms and conditions set forth in this Agreement.

Disclaimer of Warranties

JTG Systems / Joint Technology Group Inc. makes no warranties, representations, or conditions with respect to the Software, Maintenance, or Support Services except as explicitly stated in this Agreement. All other warranties, whether express or implied, including any warranties of merchantability or fitness for a particular purpose, are hereby excluded.

Third-Party Products

JTG Systems / Joint Technology Group Inc. does not warrant any software or other products manufactured by third parties and supplied in connection with the Software, Maintenance, and Support Services.

Limitation of Liability

JTG Systems / Joint Technology Group Inc. shall not be responsible for any damages, whether direct, indirect, incidental, special, or consequential, arising from the use of the Software or related services. You expressly acknowledge and agree that JTG Systems / Joint Technology Group Inc. disclaims all liability for any damages incurred.

Indemnification

You agree to indemnify and hold JTG Systems / Joint Technology Group Inc., its officers, employees, agents, and subcontractors, harmless from any claims, losses, liabilities, and expenses arising out of your use of the Software and Services, including any claims related to third-party products or services used in conjunction with the Software.

Termination

You cannot terminate this Agreement as long as you, your clients, or any other party have used the Software. Termination by JTG Systems / Joint Technology Group Inc. may occur under certain circumstances as outlined in separate agreements, but this Agreement remains in effect for the duration of your, your clients', or any other party's use of the Software.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario, Canada. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Welland, Ontario, Canada.

Miscellaneous

• Assignment: This Agreement is binding upon you and may not be assigned by you without JTG Systems / Joint Technology Group Inc.'s written consent.
• Force Majeure: JTG Systems / Joint Technology Group Inc. shall not be liable for any delay or failure to perform due to causes beyond its reasonable control.
• Entire Agreement: This Agreement constitutes the entire agreement between you and JTG Systems / Joint Technology Group Inc. regarding the Software and Services.
